Product Portal Terms & Conditions

1. About these terms

These Terms & Conditions apply when you register for or use the James Robinson Speciality Ingredients product portal at products.jrsi.com (the “Portal”). The Portal is operated by James Robinson Speciality Ingredients Limited (“JRSI”, “we” or “us”).

The Portal is for business users reviewing our products, downloading technical information or requesting samples. By ticking the acceptance box, you agree to these terms. If you are acting for an organisation, you confirm you have authority to use the Portal for that purpose.

2. Your account

Provide accurate registration details, keep your login details secure and do not share your account. Notify us if you suspect unauthorised access. We may refuse, suspend or close access to protect the Portal or address misuse.

3. Using and sharing documents

Product information, technical data sheets, test results, scientific presentations, formulation guidance and other downloadable materials (“Content”) are provided for legitimate business purposes, such as evaluating ingredients and developing formulations.

You may download and use Content for legitimate business purposes and share it internally with colleagues who need it. You may also share Content with external laboratories, consultants and contract manufacturers where reasonably necessary for evaluation or formulation work, provided they are bound by suitable confidentiality obligations and the sharing complies with Section 5 and any restrictions stated on the document.

4. Scientific information, AI and reverse engineering

Some Content may contain confidential scientific research, proprietary technical know-how or commercially sensitive information. For this section, “Restricted Content” means Content marked “Confidential”, marked “JRSI approval required before external sharing”, or otherwise clearly identified by JRSI as restricted.

You must not:

  • Upload restricted Content, or substantial extracts, to external AI assistants, large language models or third-party automated document-analysis services;
  • Use restricted Content to train, fine-tune, develop or improve AI or machine-learning systems;
  • Use restricted Content, by AI or other methods, to reconstruct JRSI’s undisclosed proprietary formulations, manufacturing methods or confidential know-how; or
  • Systematically extract restricted Content to create competing technical databases or services or otherwise misuse confidential information.

These restrictions do not prevent normal ingredient evaluation, formulation and performance testing, or independent work that does not misuse restricted information. Contact enquiries@jrsi.com if you need authorisation for a particular use or tool.

5. Confidentiality and intellectual property

All intellectual property rights in the Portal and its Content remain with JRSI or their respective owners. Access to the Portal does not transfer ownership or grant rights beyond those permitted under these Terms & Conditions.

Users must treat Content as confidential where it is marked “Confidential” or where its nature or circumstances of disclosure reasonably indicate that it is confidential.

Content expressly marked “Confidential” or “JRSI approval required before external sharing” must not be shared outside the user’s organisation without JRSI’s prior written permission, except where disclosure is required by law.

These restrictions do not apply to information that becomes publicly available without a breach of confidentiality, is lawfully obtained without confidentiality obligations, or is independently developed without using protected Content.

Users must promptly notify JRSI if they become aware of accidental or unauthorised disclosure of Restricted Content, including uploads to external systems.

6. Technical information and product responsibility

We aim to provide useful and accurate technical information, but information and test results can change and may depend on formulation or processing conditions. Content is guidance, not a guarantee of performance, regulatory approval or suitability.

You are responsible for appropriate product testing, safety and stability assessment, regulatory compliance and support for claims about finished products. Any agreed product specification or supply contract takes precedence for the relevant product.

7. Sample requests

Samples are subject to approval and availability and are provided for professional testing and evaluation. Follow applicable safety and handling instructions. Do not resell samples or use them in products intended for consumer sale without JRSI’s authorisation. Additional sample-specific terms may apply, including agreed restrictions on analysis or reverse engineering.

8. Portal security

Do not access accounts or systems without authorisation, interfere with the Portal, bypass security controls, introduce malicious software, or scrape or bulk-download Content without permission. We may keep proportionate account and download records for security and administration as explained in our Privacy Policy.

9. Personal data and marketing

Our Privacy Policy explains how we use personal information: https://jrsi.com/privacy-policy/. Consent to optional marketing communications is separate from acceptance of these terms.

10. Changes and ending access

We may update Content, change the Portal or restrict access when reasonably necessary. We may also update these terms, give appropriate notice of material changes and require renewed acceptance.

When access ends, users must stop using Restricted Content and, upon reasonable request, delete or return confidential copies, except where retention is required by law or applicable regulatory obligations. Confidentiality obligations and restrictions relating to prior unauthorised use continue where applicable.

11. Liability and other agreements

To the extent permitted by law, we do not guarantee uninterrupted Portal access or that Content will suit a particular purpose. JRSI is not liable for indirect or consequential loss arising from Portal use to the extent legally permitted. Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.

Separate signed confidentiality, sample and supply agreements continue to apply. Where a signed agreement expressly conflicts with these terms on the same subject, that agreement takes priority unless it states otherwise. If one provision is unenforceable, the others remain effective where possible.

12. Governing law and contact

These terms are governed by the laws of England and Wales, subject to applicable mandatory law. The courts of England and Wales have jurisdiction, subject to any mandatory jurisdiction rules.
